Terms of Service

Effective date: 1 July 2025 · Runemind Pty Ltd · ABN 73 703 342 965 · Melbourne VIC, Australia

These Terms of Service (Terms) govern your use of the website runemind.online and any professional business and consulting services supplied by Runemind Pty Ltd (ABN 73 703 342 965) (we, us or our). By requesting a quote, engaging our services or using this website, you agree to these Terms. If you do not agree, please do not use the website or engage our services.

1. Application of these Terms

These Terms apply together with, and are subject to, any written quote, proposal, engagement letter or statement of work accepted by both parties (Engagement Document). If there is any inconsistency between an Engagement Document and these Terms, the Engagement Document prevails to the extent of the inconsistency.

2. Our Services

We provide professional business and consulting services, which may include business strategy and planning, operational reviews, process improvement, market and competitor research, financial analysis and reporting support, and related advisory work. The exact scope, deliverables, timelines and fees for your engagement will be set out in the applicable Engagement Document.

General information published on this website is provided for information only and does not constitute financial, legal, tax or other professional advice for your specific circumstances. You should obtain independent professional advice tailored to your situation before acting on any general information we publish.

3. Quotes and Engagement

Quotes we provide are valid for 30 days from the date of issue unless the quote states otherwise. A quote is an invitation to treat and does not by itself create a binding engagement. An engagement begins only when we confirm acceptance in writing (including by email) after receiving your acceptance of a quote or Engagement Document.

We may decline any request, or discontinue an engagement, at our discretion, including where a conflict of interest arises or where the requested work falls outside our scope of services.

4. Fees, Invoicing and Payment

Fees are as set out in the applicable quote or Engagement Document. Unless stated otherwise, all fees are expressed in Australian dollars and exclude GST, which is payable in addition where applicable.

We will issue tax invoices for amounts payable. Invoices are payable within 14 days of the date of issue unless otherwise agreed in writing. If you dispute any part of an invoice, you must notify us in writing within that period, pay the undisputed amount, and the parties will work together in good faith to resolve the dispute promptly.

5. Your Obligations

You agree to:

6. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For services, we are required to provide them with due care and skill, and any deliverables must be reasonably fit for the purpose made known to us and be supplied within a reasonable time. If our services do not comply with an applicable consumer guarantee, you may be entitled to remedies such as resupply of the services or, in some circumstances, a refund, as set out in the Australian Consumer Law.

7. Limitation of Liability

To the maximum extent permitted by law, and subject to section 6 (Australian Consumer Law):

This section does not apply to any liability that cannot lawfully be limited or excluded.

8. Intellectual Property

Unless otherwise agreed in writing, we retain ownership of our pre-existing intellectual property, including our methodologies, frameworks, templates and tools. On full payment of the applicable fees, you are granted a non-exclusive, non-transferable licence to use the deliverables prepared specifically for you for your internal business purposes.

You retain ownership of materials you provide to us. Content on this website may not be reproduced, published or distributed without our prior written consent.

9. Confidentiality

Each party must keep confidential all non-public information of the other party obtained in connection with an engagement, and must not use or disclose that information except for the purposes of the engagement, with consent, or as required by law. This obligation does not apply to information that is public, was already known to the recipient lawfully, or is independently developed without reference to the confidential information.

10. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By engaging our services, you consent to us collecting, using and disclosing personal information as described in that policy.

11. Website Availability and Third-Party Links

This website is provided on an “as is” basis. While we take reasonable care to keep information current, we do not warrant that the website will be uninterrupted, error-free or free of harmful code, and we may modify or discontinue any part of it at any time.

Links to third-party websites are provided for convenience only. We do not endorse and are not responsible for the content, policies or practices of any third-party website.

12. Termination

Either party may terminate an engagement by giving written notice to the other party. On termination, you remain liable for fees for services properly performed up to the date of termination, and we will deliver any work product completed and paid for up to that date, where practicable.

Sections 6 to 9 and 15 of these Terms, and any other provisions which by their nature are intended to survive, survive termination of an engagement.

13. Events Beyond Our Control

We are not liable for any delay or failure to perform our obligations to the extent caused by an event beyond our reasonable control, including natural disasters, industrial action, internet or utility failures, or changes in law. We will notify you promptly and take reasonable steps to mitigate the effect of such an event.

14. Dispute Resolution

If a dispute arises, the parties agree to first attempt to resolve it in good faith by discussion between senior representatives of each party before commencing proceedings, except where urgent injunctive or interlocutory relief is required.

15. Governing Law

These Terms and any engagement are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.

16. Changes to These Terms

We may update these Terms from time to time by publishing an updated version on this page. The version published on this page at the time you request a quote or engage our services will apply to that engagement, unless a later version is agreed in writing.
